Constitution & By-Laws of Saint Louis Section American Society of Civil Engineers (Effective March 9, 1977)

 

Article I - Name and Object

  • Section 1. This association shall be known as the Saint Louis Section of the American Society of Civil Engineers.
  • Section 2. The objective of the Saint Louis Section shall be the advancement of the science and the profession of engineering.

 

Article II - Membership

  • Section 1. All members of the American Society of Civil Engineers of all grades, subscribing to the Constitution and By-Laws of the Saint Louis Section, as evidenced by the payment of current dues of the Section, shall be Members of the Section. All members of the American Society of Civil Engineers of all grades, whose addresses are within the boundaries of the Section as defined by the Society, shall be Assigned Members of the Section.

 

Article III - Dues

  • Section 1. The annual dues for Members shall be fixed at the Annual Meeting.

 

Article IV - Officers

  • Section 1. The officers of the Section shall be a President, President-Elect, Vice-President, three Directors, a Secretary and a Treasurer.
  • Section 2. The duties of the President, President-Elect, Vice-President, the Secretary and the Treasurer shall be those usual to the positions and as prescribed in the By-Laws. The duties of the three Directors include the coordination and direction of all Committees. The officers and the latest resident past president shall constitute an Executive Committee in which the government of the Section shall be vested.
  • Section 3. The President, President-Elect, Vice-President, the Secretary and the Treasurer shall serve one year. The Directors shall serve three years, one to be elected each year. Elections shall be held as prescribed in the By-Laws. The President shall be ineligible for re-reelection until at least one year shall have elapsed after his term of office has ended.

 

Article V - Meetings

  • Section 1. The Annual Meeting of the Section shall be held in September of each year on a date to be set by the Executive Committee.
  • Section 2. Other meetings shall be held as provided for the By-Laws.

 

Article VI - Amendment

  • Section 1. An amendment to this Constitution may be proposed in writing by not less than ten Members and submitted to the Executive Committee, which shall issue it with the notice of a regular meeting, at which time it shall be discussed. If approved, as submitted or as amended by a majority vote of the meeting, it shall be submitted to the Members for vote by letter ballot. It shall be adopted only by an affirmative vote of not less than two-thirds of all votes cast, provided the total number of voters shall not be less than a majority of the Members of the Section. To become effective such amendments shall have previously or subsequently received the approval of the Board of Direction of the American Society of Civil Engineers.

 

BY-LAWS OF SAINT LOUIS SECTION AMERICAN SOCIETY OF CIVIL ENGINEERS

(Effective March 9, 1977)

 

Article I - Membership

  • Section 1. Whenever the word Member is used in the Constitution of the Saint Louis Section, American Society of Civil Engineers, and hereafter in these By-Laws, it means Assigned Members whose current dues have been paid to the St. Louis Section.
  • Section 2. Only a  Member shall be entitled to vote and hold office in the Section.

 

Article II - Dues

  • Section 1.  The annual Section dues of each Member shall not exceed twenty dollars ($20.00) and the rate shall be fixed by a majority vote of those present at the June Meeting. In the event no action on dues is taken at the June Meeting, they shall remain the same as for the preceding year. Annual dues shall be payable on October 1 of each year and become delinquent on December 31 of each year.
  • Section 2. As soon after the June Meeting as is practical, the Secretary shall notify each Assigned Member, at his last known address, of the Section dues for the ensuing fiscal year which is from October 1 to September 30. With the approval of the Executive Committee, this responsibility may be met by such notification being made by the dues notice from headquarters of the American Society of Civil Engineers.
  • Section 3. Any assigned Member of the St. Louis Section whose annual dues to the American Society of Civil Engineers have been exempted by the American Society of Civil Engineers shall be excused from payments of dues to the Section, but he shall retain all the rights and privileges of a Member.

 

Article III - Nominations & Elections

  • Section 1. The President shall appoint a Nominating Committee of five Members, one of whom shall be a past president of the section. The names of the members of the Nominating Committee shall be announced in the notice of the January meeting.
  • Section 2. The President-Elect shall assume the office of President for one year at the conclusion of his term as President-Elect.
  • Section 3. The Nominating Committee shall report to the President not later than March 1st, submitting its list of nominees for the offices of President-Elect, Vice-President, Director, Secretary and Treasurer to be elected, and this list of nominees shall be announced in the notice of the March Meeting. Such notice shall state that additional nominations may be made at the March meeting and shall also state the prescribed manner in which such additional nominations may be made at the March meeting and shall also state the prescribed manner in which such additional nominations must be made. Prior to submitting its list of nominees the Nominating Committee shall obtain from the nominees for each office their consent to serve if elected. At the March meeting, additional nominations may be made in writing signed by ten Members. If there is no meeting in March, a copy of the report of the Nominating Committee shall be mailed to each member with the notice of cancellation of the regular meeting. The notice of cancellation of the meeting shall refer to the report of the Nominating Committee and shall inform the Members that written nominations, signed by ten Members, shall be in order and that such nominations must be sent to the Secretary not later than March 31. Such additional nominations however made, must be accompanied by a written statement from the person or persons nominated for the office that he or they will serve, if elected. The Nominating Committee shall also be informed of the anticipated potential memberships on national committees of the Society and shall prepare resumes or other background data as necessary for candidates for submission to the appropriate offices.
  • Section 4. If only one name has been nominated for each office to be filled, the nominees shall be declared elected by the President at the May meeting. If more than one nomination has been made for any office, then the names of the nominees for each and all offices subject to election shall be sent to the Members by letter ballot not later than ten days prior to the date of the May meeting. Returns from the Letter Ballot shall be received up to the opening of and be counted at the May meeting at which time the nominee receiving the greatest number of votes for each office shall be declared elected by the President.
  • Section 5. Newly elected officers shall take office the first day of October following the Annual Meeting or as soon thereafter as may be practicable and shall hold office until their successors have been duly elected and qualified.
  • Section 6. The President-Elect and the Vice-President in the order of seniority shall preside at meetings in the absence of the President and shall discharge his duties in case of vacancy in the office. Vacancies in other offices shall be filled for the unexpired term, by the Executive Committee, subject to the approval of a majority of the Members of the Section present at its next regular meeting.
  • Section 7. The Nominating Committee shall nominate a full slate of officers as shown in Article IV, Section 1 of the Constitution, in the year following the adoption of these By-Laws except that three Directors shall be nominated - one for one year, one for two years and one for three years. The terms of all previously elected officers and councilors shall end at the Annual Meeting following the adoption of these By-Laws. This Section shall be null and void September 30, 1973.

 

Article IV - Management

  • Section 1. The Executive Committee shall authorize all expenditures of the funds of the section, audit the accounts of the Treasurer and make such rules and regulations regarding the conduct of the Section, as are not in conflict with the Constitution and By-Laws.
  • Section 2. All Officers shall serve without remuneration.

 

Article V - Meetings

  • Section 1. The Section shall hold regular monthly meetings. Other meetings shall be held at the call of the President or upon the written request of ten or more members addressed to the President. Regular meetings may be canceled for good cause at the discretion of the Executive Committee.
  • Section 2. Notice of the time and place of every meeting shall be mailed to each Assigned Member at least seven days prior to the date of the meeting. In the event that any regular meeting is canceled, notice thereof shall be mailed to each Assigned Member at least five days prior to the scheduled date of the meeting.
  • Section 3. Twenty Members shall constitute a quorum for the transaction of business.

 

Article VI - Committees

  • Section 1. Committees as deemed necessary by the President and the Executive Committee shall be appointed each year to carry on the work of the Section.
  • Section 2. The Chairman of all committees meeting with the President and Executive Committee at the call of the President to report on committee activities and advise on matters concerning the management of the Section shall constitute the Board of the Section.
  • Section 3. Three delegates to represent the Section at District 16 Council meeting shall be the President-Elect, President and the latest resident Past President. In the event a delegate is unable to attend a Council meeting or is no longer eligible to serve, the President shall appoint a substitute.

 

Article VII - Procedures

  • Section 1. Unless otherwise directed by these By-Laws or by the Constitution of the Section, procedures for conduct of meetings shall be in accordance with Robert’s Rules of Order.

 

Article VIII - Amendments

  • Section 1. These By-Laws may be amended by a majority of the Members present at any regular meeting or the Annual meeting, provided a notice stating the nature of the proposed amendments shall have been mailed to each Member not less than five days before the date of the meeting. Such amendments shall become effective when approved by the Board of Direction of the American Society of Civil Engineers.
